Mission

IRIS Capital Investment is an independent provider of capital to publicly-listed companies. We bring tailor-made solutions to corporates that require dedicated equity-linked and equity financing to meet their investment and development needs. We partner with managers and shareholders to provide the most efficient and flexible financing solutions over the long run. We master equity capital markets and extract the best of them to the benefit of the companies we invest in.

History

Engineer from Ecole des Mines de Nancy with a post graduate diploma in financial mathematics from Paris VI, Fabrice EVANGELISTA started his career implementing predictive models in the military industry in France.
He moved into the financial industry to apply similar models by joining Societe Generale in Paris and then BNP Paris in Paris, New-York and Philadelphia where he became global head of proprietary trading for Equity, equity derivatives and commodities.
In 2012, he founded IRIS as an investment firm focusing on quantitative arbitrage opportunities in several asset classes, active in the USA, Europe and Asia.
In 2018, he created a new investment strategy based on equity financing which was named IRIS Capital Investment, with a special focus on providing new equity to growth and turnaround companies worldwide.

1. Business analysis and credit profiling

We believe in developing specific analysis tools that enable us to have an edge in understanding the business and credit profile of our issuers. We analyse multiple factors with discipline and focus and employ a wide range of approaches.  We strive to gain an in-depth understanding of the business and the capital needs of our corporate partners.

2.Trading technologies

Over the last 10 years, we have developed market leading trading tools and algorithms to ensure that we capture the best of equity capital markets while minimising market impact. We have developed a global trading platform that can access all main stock exchanges in Europe, North America and Asia. Our trading platform is based on decades of arbitrage and trading experience all over the globe and ensures world-class market execution.

3. Tailor-made and flexible solutions

Each financing solution we provide is unique and based on in-depth dialogue with management and shareholders. We strive to deliver optimal and made-to-measure structures that meets issuers’ needs over the long term. Flexibility is a key component to our approach. We provide simple and straightforward structures that our corporate partners can easily understand and deploy. We are often one among several sources of funding and make sure we are fully compatible with the others.

Independence and long-term thinking

IRIS Capital Investment is an independent firm. Independence is rooted in our DNA and protected by the absence of external shareholders or third party money. We invest only our own capital. We have no pressure from external parties and no obligation to deploy money.

We made no promise to anybody, except to ourselves.

We are free to concentrate on the interest of the companies we invest in. This allows the independence of mind that is crucial to successful investment and performance. It also means that we have no conflict of interest and the decision process is fast and efficient.

Investment decisions are made quickly and we can send a firm Term-Sheet in a matter of a few days.

We consider ourselves as long-term partners. Our purpose is to build constructive and responsible partnership with companies in which we invest. We commit to bring financing over several years and offer maximum flexibility. We adapt our financing along the way, as businesses and requirements evolve, and often engage into repeat transactions over the years.

Underwritten Equity-linked and Equity financing

IRIS Capital Investment brings capital to publicly-listed companies  in the form of Mandatory Convertible Bond and Equity financing, through innovative and tailor-made structures.

Typical Deal size ranges from EUR 5 to EUR 200 million in various currencies (EUR, USD, CHF, etc.). Commitment is made over a period of several years, typically 1 to 3 years and funds are usually drawn in regular tranches (monthly for example) over the period. Facilities are often renewable at the company’s option.

This ensures the company secures proceeds on a regular basis. Financings are made-to-measure with the managers and shareholders, based on funding requirements and investment plans.

We provide firm underwriting of funding over time, bringing full visibility to the management and shareholders.

The companies we invest in

Companies we invest in are mid-cap companies, mainly in Europe and North America, sometimes in Asia. They tend to be innovative and growth companies that need to fund their investment programmes, typically like Biotech and Technology companies.

Typical market capitalisation ranges from EUR 20 million to EUR 1 billion.

Our financings are also made available to traditional mid-cap companies as an alternative and extra source of capital, to fund an acquisition or a specific investment for example.

We also provide extra funding in turn-around or restructuring situations, where corporates have reached the limits of their traditional sources of financing.

Full flexibility and long-term commitment

In addition to our firm underwriting, we bring full flexibility to our corporate partners. Funding can be stopped and resumed by the issuer at any time until maturity, at no extra cost. Should market conditions permit, funding can also be accelerated.

We commit over  several years, bringing full visibility to our corporate partners over their funding resources. We believe in constant dialogue between managers, shareholders and ourselves over the years. As needs evolve, we make our best effort to adapt the financing to new requirements.
